1. Acceptance of these terms

These Terms of Service govern your use of the website at www.longyunsheng.autos and any order you place with Long Yunsheng Industrial Co., Limited for stamping, forming, finishing or kitting work. By using the website, sending an enquiry or placing an order, you agree to these terms. If you do not agree, please do not use the site and do not place an order.

Where you act on behalf of a company, you confirm that you have authority to bind that company to these terms. If a separate signed agreement exists between your company and ours, that agreement takes precedence over these terms to the extent of any conflict. Where no separate agreement exists, these terms are the whole agreement for the work.

These terms are written in plain English. Headings are for convenience only and do not affect the meaning of a clause. A reference to writing includes email sent to the addresses published on this site.

2. Who we are

Long Yunsheng Industrial Co., Limited operates a metal stamping floor at Rm 232 2/F Secure House, 68 How Ming St, Kwun Tong, Hong Kong - 999077, Hong Kong (HK). The public website is maintained by the developer LongYunSheng. The business activity described on this site covers small-run stamping batches, bracket and clip fabrication, jig setup days, deburr and finish passes, sample strike runs and hardware kitting packs.

You can reach the floor by email at orders@longyunsheng.autos or by telephone at +13374549685. Written correspondence may be sent to the postal address above. The person named on a quotation is the contact for that job until you are told otherwise.

3. Use of the website

You may use this website for lawful purposes connected with evaluating our services, sending an enquiry or managing an order. You must not attempt to gain unauthorised access to the site or its hosting environment, interfere with the availability of the site, introduce malicious code or use automated tools to extract content at a volume that would disrupt service for others.

The content of this site may be printed or saved for your own reference. It may not be republished, sold or used to train a commercial system without written permission. Quotations and technical notes sent to you are for the job they relate to and are not a general licence to use our material elsewhere.

We may suspend access to the site for maintenance or security reasons. Where a suspension is planned, we will try to give notice, but we do not guarantee that the site will be available without interruption.

4. Website content and accuracy

The descriptions on this site are intended to explain how the floor works and what kind of work it accepts. They are not a technical specification for any particular part. A part is made to the drawing and specification agreed for that job, not to a general description on a web page.

We take care to keep the site accurate, but business details, hours and capabilities can change. If a detail matters to your decision, confirm it by email before relying on it. No statement on the site is a promise that a particular machine, finish or date will be available.

Prices, where shown, are indicative only and are not an offer. A binding price is the one stated in a written quotation issued for a specific job and accepted in accordance with the section on orders and acceptance.

5. Enquiries and quotations

An enquiry is an invitation to quote. It does not create an order. We will review the drawing, the material, the thickness, the quantity and the required date, and we will either issue a quotation or explain why the job does not suit the floor.

A quotation states the price, the quantity, the finish, the lead time and any assumption that affects the price. Quotations are normally valid for thirty days unless a shorter period is stated. A quotation is based on the information available when it is issued, and a material change to the drawing or the quantity may require a revised quotation.

If a quotation depends on a sample being approved, the lead time runs from the date of approval rather than the date of the quotation. We will state this clearly where it applies so that the schedule is not misread.

6. Orders and acceptance

An order is placed when you accept a quotation in writing, normally by email, and confirm the drawing revision, the quantity and the delivery address. A purchase order reference may be supplied for your records, but the terms of your purchase order do not override these terms unless we agree in writing.

A contract is formed when we acknowledge the order in writing. Until that acknowledgement, we may decline the order, for example where the die required is not available, where the material cannot be obtained or where the requested date cannot be met. We will not start work before the contract is formed.

Changes to an order after acknowledgement may be possible if the die has not been set and the material has not been cut. A change may affect the price and the date. We will confirm the effect in writing before proceeding with the change.

7. Customer drawings and specifications

You are responsible for the drawing and specification you supply. You confirm that the drawing is the current revision, that it is dimensioned clearly enough to be made, and that you have the right to have the part produced from it. If a drawing is ambiguous, we may ask for clarification before setting the die.

We review drawings for manufacturability and may suggest changes to a bend radius, a hole position or a material choice. A suggestion is offered in good faith and does not transfer responsibility for the design to us. The final decision on the design remains with you.

Where you supply material rather than asking us to obtain it, you are responsible for its grade, condition and traceability. We will inspect material on receipt and raise any obvious defect before cutting, but we cannot guarantee a material that we did not source.

8. Tooling, dies and setup records

A die may be an existing tool held on our rack or a new tool made for your part. Unless a quotation says otherwise, the die remains with us for the life of the job, including periods between runs. We store it on a numbered rack and keep the setup record with it.

The setup record states the ram height, the feed line and the first article readings. It exists so that a repeat run can begin from a known state. You may ask for a copy of the setup record for a job you have ordered, and we will provide it where it does not disclose information belonging to another customer.

Where a quotation states that a new die is charged separately, the price of the die is payable even if the production order that follows is smaller than expected. Where ownership of a customer funded die is agreed in writing, we will release it on request once any outstanding balance has been settled.

We maintain dies in the ordinary way, including cleaning and light repair. Where a die needs major repair because of wear or because a drawing has changed, we will tell you before the work is done and confirm the cost and the effect on the schedule.

9. Sample strike runs and approval

A sample strike run produces a small number of pieces for evaluation before a production commitment. Samples are described in the strike record, which notes the dimensions that remain open. Approval of a sample means that you accept the sample as the reference for the production batch, including any open dimensions that were noted.

You should inspect a sample promptly and record any concern in writing. If a concern is raised after production has started, we will do what we reasonably can to address it, but we cannot guarantee that a change to a running batch is free of charge or free of delay.

Where a job proceeds without a sample, the drawing is the only reference. We recommend a sample for any new part, for any bracket that interacts with hardware from another supplier and for any design that has changed recently.

10. Tolerances and finish

Stamped and formed parts are made to the tolerances stated on the drawing or, where the drawing is silent, to the tolerances we confirm in the quotation. Sheet metal forming produces small variations that are normal for the process, and a tolerance that cannot be held by stamping will be raised before the job is accepted.

Finish is described on the job card. Where a coating or plating routine is specified, the finish partner will follow that routine and we will record the result. Colour matching is limited to the range stated by the finish supplier, and a small variation between batches of coating is normal.

Deburr is a hand and machine process, and a minimum edge break is achieved rather than a mirror edge. Where a part will be handled on an assembly bench, we will agree the edge treatment before the finish pass begins.

11. Quantities and over or under supply

The quantity in a quotation is the quantity we aim to deliver. Short runs occasionally produce a small over or under supply because of setup pieces and inspection samples. Unless a stricter arrangement is agreed, a variation of up to five per cent in either direction is accepted and invoiced at the quoted unit price.

Kitting packs are counted and marked. If a pack is short, tell us within the inspection period and we will replace the missing parts. Counts are recorded on the pack sheet so that a query can be checked against the record rather than debated.

Where a customer requires an exact count with no variation, this must be stated before the order is acknowledged so that it can be built into the run and the price.

12. Prices and payment

Prices are stated in the currency shown on the quotation and exclude delivery unless the quotation says otherwise. Where a tax applies, it will be added and shown separately. Prices are based on the material cost and the labour cost at the time of quotation.

Unless otherwise agreed, payment terms are stated on the invoice. New customers are normally asked for payment before the first production run leaves the floor. Repeat customers may be offered agreed terms, which are confirmed in writing and reviewed from time to time.

Late payment may attract interest at a rate permitted by law, and we may suspend work on other jobs where an undisputed invoice remains unpaid. We will always contact you before suspending a job so that a genuine accounting delay can be resolved without stopping the floor.

13. Delivery, collection and risk

Delivery dates are given in good faith and are based on the information available at the time of the order. A date may move if a drawing changes, if material is delayed or if a sample approval is late. We will tell you as soon as we know that a date is at risk.

Where we arrange a courier, risk passes to you when the carton is handed to the courier, unless the quotation states otherwise. Where you collect from Rm 232 2/F Secure House, 68 How Ming St, Kwun Tong, Hong Kong - 999077, Hong Kong (HK), risk passes when the carton is signed for at the floor.

You should inspect a delivery promptly and report any visible damage to the courier and to us on the day of receipt. Packaging is designed for normal handling of small metal parts, and a carton that has been crushed in transit should be photographed before it is opened.

14. Inspection and rejection

You should inspect the parts within a reasonable period after delivery, and in any event within fourteen days unless a different period is agreed. Inspection should cover dimensions that matter to the assembly, the finish and the count. A concern should be reported in writing with photographs or measurements where possible.

Where a concern is valid, we will repair, replace or credit the affected parts at our option. Where the concern arises from a drawing that was wrong or from a material you supplied, the remedy will be discussed on the basis that the specification was yours. We will not treat a valid concern as a dispute.

Parts that have been modified, assembled, coated by another party or put into service cannot normally be returned for credit, because we can no longer establish their condition. Please inspect before assembly where a concern exists.

15. Warranty and remedies

We warrant that parts will conform to the agreed drawing and specification and that they will be free from defects in workmanship at the time of delivery. This warranty covers the stamping, forming and finishing work carried out on our floor and the kitting of parts we have prepared.

The warranty does not cover wear in normal service, damage caused by improper handling or installation, a design that is inherently unsuitable for its application, or a material supplied by the customer. It does not cover a part that has been altered after delivery.

Where a valid claim is made within the warranty period, our remedy is repair, replacement or credit as described in the inspection clause. This remedy is the main remedy for a defect and is offered to the customer who placed the order.

16. Limitation of liability

Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded. Subject to that, the following limits apply.

Our total liability for a job is limited to the price paid for that job. We are not liable for loss of profit, loss of revenue, loss of opportunity, loss of data or indirect or consequential loss, however arising. We are not liable for a delay caused by an event outside our reasonable control.

These limits are a fair allocation of risk for a small stamping business and are reflected in the price. If you need cover beyond these limits, tell us before the order is accepted so that additional arrangements can be discussed.

17. Intellectual property

The design of a part belongs to the customer who supplied the drawing, unless a separate agreement says otherwise. We do not claim ownership of your design and we do not make your part for another customer without written permission.

The text, layout, styling and code of this website belong to Long Yunsheng Industrial Co., Limited and the developer who maintains it. The name and mark of the company may not be used in a way that suggests endorsement without written consent.

Dies made for a customer are a physical embodiment of that customer design. We hold them on the rack as described in the tooling section and do not use them for any other purpose.

18. Confidentiality

Drawings, specifications, volumes and commercial terms are treated as confidential business information. Access is limited to the people who need it to quote or run the job. We do not publish customer names or part designs in marketing material without permission.

Where a supplier or finishing partner needs to see a drawing to carry out a task, they see only what is needed for that task and are expected to keep it confidential. This expectation is part of how we engage partners and is reviewed when an arrangement changes.

You should treat our quotations and setup records as confidential in the same way. They are provided for your evaluation and for the management of your order, not for circulation to other fabricators.

19. Force majeure

We are not liable for a failure or delay caused by an event outside our reasonable control. Examples include severe weather, fire, flood, power failure, a breakdown of a machine that cannot be repaired promptly, a shortage of material, industrial action, a public health restriction or a change in law that affects the work.

Where such an event occurs, we will tell you promptly, explain the effect on the schedule and take reasonable steps to reduce the delay. If the event continues for a long period, either party may cancel the affected order without liability for the cancellation, while remaining responsible for work already done.

20. Cancellation and termination

You may cancel an order before the die is set without charge beyond any material already cut or tooling already ordered. After the die is set, a cancellation may attract a charge for the work already done and for material that cannot be returned.

We may cancel an order if a drawing cannot be made within the stated tolerance, if material cannot be obtained, if a payment remains overdue after notice, or if continuing the work would put the floor or its people at risk. In that case we will account to you for any amount already paid in respect of work not carried out.

The clauses on confidentiality, intellectual property, limitation of liability and governing law survive the end of a contract.

21. Governing law and disputes

These terms and any contract for work are governed by the laws of Hong Kong. The courts of Hong Kong have exclusive jurisdiction over a dispute, unless the parties agree in writing to another forum.

Before starting a formal claim, we ask that you raise the issue in writing so that it can be discussed directly. Most commercial disagreements about a part, a count or a date can be resolved by looking at the drawing, the setup record and the pack sheet together. We will always try that route first.

22. Changes to these terms

We may update these terms from time to time to reflect a change in how the floor works or in the law. The version that applies to an order is the version in force when the order is acknowledged, unless a later version is expressly agreed.

The effective date at the top of this page shows when the current version took effect. If a change is material, we will note it on the homepage for a short period so that regular customers are not surprised by it.

23. Contact details
